Specific deliverables are detailed in individual Service Agreements. All pricing is subject to VAT at the prevailing rate where applicable.
Services are provided under separate Service Agreements with a standard duration of twelve (12) months. Either party may terminate by providing thirty (30) days' written notice. Agreements automatically renew for successive twelve-month periods unless terminated in accordance with this clause.
All Intellectual Property Rights in the Website and its Content belong to the Agency or our licensors. Content created specifically for Clients under Service Agreements shall be governed by the terms of the respective Service Agreement. You may not reproduce, distribute, modify, or create derivative works from any Content without our express written permission. The Agency reserves all rights in our proprietary AI technologies, methodologies, and processes.
Each party acknowledges that it may have access to Confidential Information of the other party. Each party undertakes to keep confidential all such information, not to disclose it to third parties without written consent, and to use it solely for the purposes of these Terms. These obligations survive termination for a period of five (5) years.
The Agency processes personal data in accordance with UK data protection legislation. Our Privacy Policy, available on our Website, forms part of these Terms. By using our Services, you consent to our collection and use of your data as described in our Privacy Policy.
The Agency warrants that it has the right and authority to enter into these Terms, that Services will be performed with reasonable care and skill, and that Services will comply with applicable laws and regulations.
Disclaimer: The Website and Services are provided "as is" without warranty of any kind. We disclaim all warranties, whether express, implied, or statutory.
Limitation of Liability: Our total liability shall not exceed the amount paid by the Client for Services in the twelve (12) months preceding the claim. We shall not be liable for loss of profits, revenue, business opportunities, indirect, consequential, or special damages, or business interruption or loss of data.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
You agree to indemnify and hold harmless the Agency from any claims, damages, or expenses arising from your breach of these Terms, your use of the Website or Services, or your violation of any law or third-party rights.
Neither party shall be liable for any failure to perform its obligations if such failure results from circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, government actions, or technical failures.
These Terms remain in effect until terminated by either party. We may terminate your access immediately if you breach these Terms. Upon termination, your right to access the Website ceases immediately, any outstanding fees become immediately payable, and confidentiality obligations survive termination.
The parties shall first attempt to resolve disputes through good faith negotiations. If negotiations fail, disputes shall be resolved through mediation administered by the Centre for Effective Dispute Resolution (CEDR). If mediation fails, disputes shall be resolved by arbitration under the LCIA Arbitration Rules. Nothing in this clause prevents either party from seeking urgent injunctive relief.
